Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and FinButler ("FinButler," "we," "us," or "our"). They govern your access to and use of the FinButler website, dashboards, mobile applications, APIs, integrations, AI assistant, and related services (the "Service").

By creating an account, joining a workspace, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

Eligibility and account responsibility

To use FinButler you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding agreements.
• Provide accurate, current, and complete information at registration and keep it up to date.
• Maintain the confidentiality of your account credentials.
• Comply with all applicable laws and these Terms.

What FinButler is

FinButler is a software platform with an AI assistant that helps families and small or medium businesses organize personal and business finances. The Service lets you:

The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Service, with or without notice, while honoring active paid plans on the terms below.

FinButler is not a regulated financial or professional services provider

In particular, FinButler is not, and does not hold itself out as, any of the following, and does not provide the services they provide:

• A bank, banking institution, savings and loan, or credit cooperative subject to the Superintendencia de Bancos de Panamá (SBP) or any equivalent foreign authority.
• A securities broker, broker-dealer, investment adviser, portfolio manager, or investment fund regulated by the Superintendencia del Mercado de Valores de Panamá (SMV) or any equivalent foreign authority.
• A payment institution, payment-services provider, money-transmitter, money-remittance house, electronic-money (e-money) issuer, or stored-value provider.
• A fiduciary, trustee, escrow agent, or custodian of client assets.
• An accounting firm, public accountant (CPA), audit firm, or tax preparer authorized to sign or file declarations before the Dirección General de Ingresos (DGI) or any other tax authority.
• A legal advisor, insurance broker, or insurance underwriter.

FinButler does not move money, settle payments between users, custody funds, hold securities, issue tax filings, or provide any service that requires a license from SBP, SMV, the Superintendencia de Seguros y Reaseguros, ANTAI, or any equivalent authority. Insights, projections, and recommendations are informational outputs of a software product. They are not personalized financial, investment, accounting, tax, or legal advice.

Your responsibilities

You agree to:

• Provide accurate, truthful, and complete information.
• Keep your account credentials confidential and use multi-factor authentication where available.
• Use the Service only for lawful purposes and in compliance with applicable Panama law and the law of your jurisdiction.
• Not attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
• Not interfere with or disrupt the Service or its servers.
• Not reverse engineer, decompile, or disassemble any part of the Service except where allowed by law.
• Not use automated systems to access the Service without our written authorization, beyond the documented APIs you have license to.

Tax reports and accountant workflows

The accountants and tax-reporting surfaces are a workflow and reporting layer for firms. FinButler does not:

• Act as your accountant, tax preparer, auditor, or advisor.
• Sign, file, or transmit tax returns on your behalf.
• Issue audit opinions or compliance certifications.
• Provide regulated accounting, tax-preparation, or legal services.

Professional accounting, tax, audit, and advisory services are provided by your own qualified professionals, not by FinButler.

AI assistant and persistent memory

The AI assistant generates responses based on your data and on large-language-model (LLM) providers acting as subprocessors. AI outputs can be incomplete, out of date, or wrong, particularly for tax, legal, or investment questions. You agree to:

• Treat AI responses as informational and verify anything you intend to act on.
• Not rely on the assistant as a substitute for a qualified professional.
• Use persistent AI memory voluntarily; you can review, edit, or wipe it from your account settings, and FinButler propagates deletions to the memory provider.

FinButler does not use AI to make automated decisions that produce legal effects about you. We do not allow LLM providers to train on customer content by default.

Intellectual property

The Service, including its original content, features, functionality, branding, and design, is owned by FinButler and protected by Panama and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or business purposes in accordance with these Terms.

You retain ownership of the financial and content data you provide. By using the Service, you grant FinButler a license to host, process, transmit, and display your data solely to operate, secure, and improve the Service in line with the Privacy Policy.

Prohibited uses

You may not use the Service:

• For any illegal purpose or to violate applicable law.
• To transmit viruses, malware, or other harmful code.
• To collect or harvest information about other users without authorization.
• To impersonate any person or entity.
• To engage in automated data collection (scraping, crawling) outside the documented APIs.
• To interfere with or disrupt the Service or its infrastructure.
• To launder funds, evade taxes, or facilitate financing of terrorism.
• To attempt to use the Service in a way that would require a license FinButler does not hold.

Paid plans, pricing, taxes, and refunds

FinButler offers free and paid plans. The currently available plans and their live prices, billing intervals, and currencies are displayed inside your account and on the public Pricing page. By subscribing to a paid plan you agree to the following:

Pricing transparency

• The price shown at checkout is the final price you pay for that billing period, in the currency displayed, including ITBMS (Impuesto de Transferencia de Bienes Muebles y Servicios) and any other Panama taxes that apply, in line with consumer-pricing requirements administered by ACODECO (Autoridad de Protección al Consumidor y Defensa de la Competencia).
• If you give us a valid RUC and fiscal name, we issue tax-compliant invoices and receipts itemizing the net amount and the ITBMS amount where applicable.
• Currency conversion fees and bank fees charged by your card issuer are not part of the FinButler price and are not refundable by us.

Auto-renewal and cancellation

• Paid plans renew automatically at the end of each billing period at the then-current price, until you cancel.
• You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; the Service remains available until then.
• We notify you of material price changes at least 30 days in advance by email and in the app. You may cancel before the price change takes effect.

Free trials and conversion

• If we offer a free trial, the duration, eligibility, and the price after the trial are disclosed at the start of the trial.
• If you do not cancel before the trial ends, the plan converts to a paid plan and we charge the disclosed price. You may cancel during the trial without charge.

Failed payments, downgrades, and account state

• If a charge fails, we may retry it on the schedule supported by our payment processor and notify you by email.
• If payment is not resolved, paid features may be paused or downgraded to a free tier. Your data is preserved subject to the retention rules in the Privacy Policy.
• You can downgrade or switch plans from your account settings. Downgrades take effect at the end of the current billing period.

Refunds

• Fees are charged in advance and, beyond the rights below, are non-refundable.
• You always keep the consumer-protection rights granted by Panama law, including ACODECO-administered protections. We honor refund rights required by applicable law.
• If you believe you have been charged in error or for a service that materially failed to perform, contact billing@finbutler.ai within 30 days of the charge. We review and respond in good faith.

Payment processing

Payments are collected by a third-party payment processor acting on our behalf. The processor receives your full payment-method data; FinButler stores only the metadata needed to associate the charge with your account (for example the last four digits of the card and a processor token). The processor's own terms and privacy notices apply to its handling of payment data.

Suspension and termination

We may suspend or terminate your account if you breach these Terms, if continued use would expose FinButler or other users to risk, or if required by law. Where reasonably possible, we will notify you first and give you an opportunity to cure.

• On termination, your right to use the Service ends.
• You may export your data for at least 30 days after termination, subject to legal retention.
• We may delete your account and data in accordance with the Privacy Policy's retention schedule.

You may close your account at any time from your settings or by contacting hello@finbutler.ai.

Disclaimers

To the maximum extent allowed by Panama law, the Service is provided "as is" and "as available," and FinButler disclaims all warranties not expressly granted in these Terms, including warranties of:

• Merchantability, fitness for a particular purpose, or non-infringement.
• Uninterrupted, secure, or error-free operation.
• Accuracy, reliability, or availability of data imported from third-party sources or generated by AI features.

Nothing in these Terms limits any right or remedy you have under Panama consumer-protection law that cannot lawfully be waived.

Limitation of liability

To the maximum extent allowed by Panama law, FinButler is not liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Financial losses resulting from decisions made based on the Service or its AI outputs.
• Errors or inaccuracies in data imported from third-party sources.

Our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be limited under Panama law.

Indemnification

You agree to indemnify, defend, and hold FinButler and its officers, directors, employees, and agents harmless from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your infringement of any third party's rights.

Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws principles. Disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the competent courts of Panama City, Panama, except where a consumer right under Panama law allows you to bring an action elsewhere.

Changes to these Terms

We may update these Terms as the Service evolves and as Panama law changes. Material changes are announced in the app and via email, and the "Last updated" date is revised. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and close your account.
